By remitting payment or submitting materials for publication on SmartPatternMaking.com, the Client ("Sponsor") explicitly agrees to the following legally binding Terms and Conditions governing sponsored content, digital placement, and editorial standards.

Pricing & Scalability

1. Dynamic Pricing & "Lifetime" Renewals

As Smart Pattern Making's domain authority and search visibility grow, the value of our digital real estate scales accordingly. To protect our platform's commercial viability, we enforce the following placement terms:

Term of Link Placement: Any agreement for "Permanent" or "Lifetime" placement guarantees the publication of the article on our domain, and the active outbound hyperlink to the Sponsor, for an initial term of twenty-four (24) months.
Traffic Scaling Renewal: Following the initial 24-month term, Smart Pattern Making reserves the right to implement a "Traffic Scaling Renewal Fee" to maintain the active outbound link, reflecting our current, updated Media Kit rates.
Declined Renewals: Should the Sponsor decline to pay the renewal fee, the sponsored article will remain published to preserve site architecture, but the outbound hyperlinks will be deactivated or removed.
Payment: Full payment in USD is strictly required via official invoice prior to the commencement of any editorial review or publishing. No refunds will be issued once content has been published.

2. Regulatory Compliance (FTC & Google)

We strictly adhere to federal advertising laws and search engine guidelines to protect both our platform and our Sponsors from penalization.

FTC Disclosures: In full compliance with U.S. Federal Trade Commission (FTC) 16 CFR Part 255, a clear, conspicuous disclosure (e.g., "Sponsored by [Brand Name]" or "Paid Partnership") will be placed prominently at the top of the article.
Google Webmaster Compliance: To protect the search authority of our platform, all sponsored and paid links (maximum of 2 per article) will be coded with the rel="sponsored" attribute. We do not sell unqualified "do-follow" links under any circumstances.

Content & Media Rules

3. Editorial Standards & Intellectual Property

Content must maintain a professional, educational tone suited for apparel industry professionals.

Prohibited Content: Smart Pattern Making explicitly prohibits content promoting gambling, adult content, pharmaceuticals, CBD, MLMs, cryptocurrency, financial scams, or private blog networks (PBNs). AI-generated or scraped content is strictly forbidden.
Visual Licensing: Submissions are limited to 5 images (max 200 KB per image in WebP/JPEG format). The Client legally guarantees they hold the full rights, licenses, or permissions for all images provided and assumes full liability for any copyright infringement claims.
Platform Usage Rights: The sponsorship fee covers publication strictly on SmartPatternMaking.com. It does not grant the Client the right to download or repurpose any original photography, videos, or content created by Smart Pattern Making for their own marketing without a separate commercial licensing agreement.

Management

4. Edits, Cancellation & Right of Removal

To maintain operational efficiency, strict guidelines govern post-publication modifications.

Post-Publication Revisions: Minor pre-publication SEO/grammar edits are included. Changes requested after the article is live (e.g., updating target URLs, rebranding, swapping images) are subject to a $50 minimum flat fee per revision round.
Kill Fee: If the Client fails to provide compliant content within 30 days of the invoice being paid, we reserve the right to cancel the campaign and retain the upfront payment as an administrative kill fee.
Right of Removal: We reserve the right to remove any published content—without notice or refund—if destination links become broken, redirect to harmful sites, or violate our prohibited content policies post-publication.

5. Indemnification & Liability

Indemnification: The Client agrees to indemnify, defend, and hold harmless Smart Pattern Making from any legal claims, copyright lawsuits, or financial liabilities arising from the publication of the Client’s provided materials.

Limitation of Liability: We provide high-authority digital placement but do not guarantee specific performance metrics (e.g., traffic, sales). In no event shall Smart Pattern Making be liable for any indirect, incidental, or consequential damages. Our total maximum liability under this agreement shall be strictly limited to the total amount paid by the Client for the specific campaign in dispute. This agreement is governed by the laws of the State of California, County of Los Angeles.
