Lectra's Acquisition of Investronica

Lectra, a Paris-based technology provider, acquired Investronica Sistemas on January 9, 2004, in a deal worth $65.4 million. This acquisition aimed to strengthen Lectra's global position as a technology provider and bolster its presence in the fashion market. The acquisition resulted in the consolidation of the two companies, providing Lectra with 1,500 employees and 16,000 customers worldwide.

Impact of the Acquisition

  • Product Integration: ----Lectra stated that it would continue to provide support and service to Investronica customers, maintain the full line of Investronica products, and employ Investronica's 200 employees

  • Market Expansion: The acquisition made Investronica technology more accessible in the U.S. market where it had limited distribution, while its stronghold was in Italy and Spain. This move aimed to enhance the accessibility of Investronica technology in new markets.

Financial Terms: The acquisition involved the purchase of 100% of Investronica Sistemas shares for 6 million in cash and 1 million Lectra shares, along with the repayment of Induyco's long-term loan to Investronica Sistemas of 39.2 million.

Future Plans

  • Lectra's CEO, Daniel Harari, expressed the company's intention to make further acquisitions in the apparel space as its financial position strengthens and the market continues to move towards consolidation and reorganization.
  • In summary, the acquisition of Investronica by Lectra significantly impacted the CAD/CAM market and positioned Lectra as a leading provider of technology solutions in the sewn products industry.
